AUCTION TERMS & CONDITIONS 

REGISTRATION:

All bidding is open to the public.  However, you must register and obtain a bid number in order to bid at the auction.  The auction will be an open call auction.  All bidders must acknowledge that they have read and agree to these “Terms & Conditions” of the auction as outlined prior to bidding.

PROPERTY CONDITION:

All property to be sold in “As is, Where is” condition, with any and all faults and no implied warranties by the St. Bernard Parish Government or auctioneer.  All information and dimensions were derived from sources believed correct but are not guaranteed.

All photographs, aerial photographs, location maps and displays are only approximations or approximate locations and are not intended to be used as a survey or definitive location maps. Each sale is subject to easements, rights-of-way, reservations or restrictions of record. There will be no adjustment of price should dimensions or square footages be incorrect. All costs incurred in establishing boundaries shall be the responsibility of the buyer.

The St. Bernard Parish Government and Sperry Van Ness/Gilmore Auction & Realty are not guaranteeing these properties for any suitability of use, access or development.  Bidders should verify zoning, use and environmental issues prior to bidding on any parcel.  

Buyers shall rely on their own information, judgment and inspection of the property and records. 

DEPOSIT:

Each bidder must bring certified funds (cashier’s check, money order or cash) for the minimum deposit of $1,000 for EACH property that you plan to bid on.  Cashier’s checks should be made payable to yourself.  If you are the winning bidder this will be your required deposit.  Separate deposits will be required for each purchase.  No personal checks, business checks or credit cards will be accepted.  The deposit is non-refundable.  The successful Winning Bidder on each property will be immediately required to sign a bid confirmation form, endorse their cashier’s check and make the appropriate deposit.

CLOSING:

The balance of the purchase price is due at closing by the designated title company within 30 days of the auction.  Insurable title will be conveyed to purchaser by cash sale without warranty.  Buyer to pay the following costs to close each transaction: Title Search $75, Title Exam $125, Closing Fee $100, Recording Services & Fees actual costs and Title Insurance actual costs.  Buyer to be responsible for any financing costs and survey costs (if requested).  There is NO buyer’s premium for this auction.

TERMS:

Conduct of the auction and increments of bidding are at the discretion of the auctioneer.  Auctioneer reserves the right to accept bids in advance and to place them during the course of bidding.  In the event of a tie bid, the auctioneer will re-open the bidding between the tied bidders only.  Auctioneer reserves the right to accept back-up contracts on any property.

BIDDING PROCESS:

 No bid may be withdrawn by a bidder once made to the Auctioneer. All bids are an irrevocable offer to buy and shall remain valid and enforceable until the Auctioner declares the property “Sold” and the auction has concluded. The bidder’s number is nontransferable; all contracts are to be signed by the named registered bidder (or entity).

ALL SALES FINAL:

By registering and bidding, the buyer acknowledges they understand and agree to the Terms of Sale. The Buyer acknowledges that they have read the Auction Agreement to Purchase and Sell and these Terms and Conditions and accepts the Auction Agreement to Purchase and Sell without any changes to the pre-printed text. The buyer must sign all contract documents immediately after the auction and in the same manner in which the buyer (or entity) registered. The Agreement to Purchase and Sell may not be assigned.

LIMITED PURCHASES:

Any individual buyer or entity will be limited to purchase no more than four (4) properties in this auction event and must close in the name of the buyer (or entity) that executed the Agreement to Purchase and Sell.

SELLING AGENTS:

Sperry Van Ness/Gilmore Auction & Realty Co. is acting as Agent for the Seller in these transactions and is to be paid a commission by the Seller. Sperry Van Ness/Gilmore Auction & Realty Co. is not acting as Agent for the Purchaser.

CONTRACTS:

Potential bidders are advised to review the Agreement to Purchase and Sell thoroughly, prior to undertaking due diligence review of any particular property.  Sample Purchase Agreements are available in the registration package or on the website: www.StBernardauction.com

ANNOUNCEMENTS:

All announcements from the Auction Block will take precedence over all previously printed material and any other oral statements made.  The Agreement to Purchase and Sell represents the final contracted terms.

In the event of a dispute over any matter at the Auction, the Auctioneer shall make the sole and final decision and will have the right to accept or reject the final bid or re-open the bidding.  The St. Bernard Parish Government and Sperry Van Ness/Gilmore Auction & Realty reserve the right to deny entrance or remove any person or party from the auction.

COVENANTS TO TITLE:  There are two (2) covenants to title.  Building covenants apply in addition to those itemized in the Terms & Conditions.  Please check the property and the records.  Buyer agrees to REPAIR, MAINTAIN AND/OR DEVELOP PROPERTY AND MAINTAIN FLOOD INSURANCE AS FOLLOWS:

 1.  Buyer agrees to maintain the property in accordance with the St. Bernard Parish Government Code of Ordinances, including keeping the property free of conditions characteristic of blight.  Maintenance of the property shall be ongoing beginning on the date of Closing. Adjacent property owners may maintain the property as green space.  Penalties may apply for violations of these covenants.

 2.  Buyer agrees to maintain Flood Insurance.  What this means is the failure to maintain flood insurance, in the event of a future disaster, purchaser may not be eligible for future federal disaster relief assistance for repair, replacement, or restoration of damage due to flooding on any structure built on the vacant land acquired through the Road Home Program; however, Flood Insurance is not required on vacant land.  See Purchase Agreement/Act of Sale for complete details.

BROKER REGISTRATION:

Two percent (2%) will be paid to a qualified licensed real estate broker whose prospect is the successful bidder and closes on a property, provided the real estate broker is not prohibited by law from being paid such a commission.  To qualify for a commission, the broker must first register their prospect on the MANDATORY REAL ESTATE BUYER BROKER REGISTRATION form with the signature of the prospective purchaser and the signature of the Broker.  The form must be e-mailed, faxed or hand delivered so that it is received by the office of Sperry Van Ness/Gilmore Auction via e-mail to Christine.Brignac@svn.com, via fax 504-468-6811 or hand delivered to 3316 Florida Ave., Kenner, LA  70065.  NO LATE OR ORAL REGISTRATIONS WILL BE ACCEPTED.  Commissions will be paid only after closing and Sperry Van Ness/Gilmore Auction & Realty has been paid in full.  If a cooperating broker has not met all of these requirements, no commission will be paid to the cooperating broker, even if the cooperating broker’s buyer purchases the property.  Under no circumstances whatsoever will any commission be paid if the sale does not close.  A broker may not participate in the purchase in any way as a principal in the purchase or a principal of the Bidder, or be an affiliate of the Bidder.

SELLER CANCELLATIONS:

If for any reason St. Bernard Parish is unable to complete the transfer of title to the purchaser, St. Bernard Parish’s sole and only obligation to the Purchaser shall be the refund of the deposit.  St. Bernard Parish shall have no further obligation to the Purchaser.

WITHDRAWALS:

St. Bernard Parish Government reserves the right to withdraw any property from the Auction at any time.

FINANCING:

Purchasers to obtain their own financing, if required.  Purchase Agreements are not subject to financing or qualification.

BUYER DEFAULT:

If the purchaser fails to comply with any of these Auction Terms & Conditions, the sale shall be canceled, and the seller may, at its option retain the earnest money deposit as liquidated damages.  If any sale is so canceled prior to the completion of the Auction, the property may, at the Auctioneer’s discretion, be re-offered and re-sold.

BUYER’S REMEDY:

In the event Seller fails to comply with the terms of this Agreement, BUYER’S remedy shall be limited to the return of its deposit and the Purchase Agreement shall become null and void, neither party having further rights or liabilities hereunder, provided that the Deposit, if any, is returned to Buyer.  Buyer agrees that it shall not have the right to demand specific performance.

REPRESENTATIONS:

Neither Seller nor Auctioneer makes any representations or warranties of the accuracy nor completeness of any information provided.  Each prospective purchaser must conduct and rely solely upon their own investigation of the properties.  Each bidder shall be deemed to represent, warrant and agree that:

a.) Such bidder has examined the property on which he or she intends to bid, is familiar with the physical condition thereof and has conducted such investigation of the property or such bidder has considered appropriate, or has waived investigation of the property.  There is no inspection period after the auction bidding.

b.) Neither Auctioneer nor Seller, nor any affiliate, agent, officer, employee or representative of any of the foregoing has made any verbal or written representations, warranties, promises or guaranties whatsoever to such bidder, expressed or implied, with respect to the physical condition, operation, or any other matter or thing affecting or related to the property or the offering of sale of the property.

c.) Such bidder has not relied on any representations, warranties, guaranties or promises or upon any statements made of any information provided concerning the property, including but not limited to the Brochures or Property Information Packages provided by the Auctioneer for the Seller or their respective agents and representatives.

d.) Has determined to make its bid after having made and relied solely on its own independent investigation, inspection, analysis, appraisal and evaluation of the property and the facts and circumstances related thereto.

e.) Buyer has a 10- calendar day opportunity to conduct a risk assessment or inspection for the presence of lead based paint and/or lead based hazards on residential properties built prior to 1978.  Buyer has received the pamphlet “Protect Your Family from Lead in Your Home”.  Buyer has waived the opportunity to conduct a risk assessment or inspection for the presence of lead-based paint and/or lead based paint hazards.

All bidders will be bound by announcements made at the auction, even though a bidder may not have actually heard the announcement.

INDEMNITY:

The buyer assumes full responsibility and liability for any claim or actions based on or arising our of injuries, death, damage, or loss of property sustained or alleged to have been sustained by Buyer, its heirs, agents, principals, associates, friends, family and/or employees, in connection with or to have arisen out of or incidental to the auction including but not limited to the performance of the Auction Agreement to Purchase and Sell. Regardless of whether such claims or actions are founded in whole or in part upon alleged negligence or negligent misrepresentation of St. Bernard Parish Government, Sperry Van Ness/Gilmore Auction & Realty Co., or the employees, agents, invitees, or licensees thereof, Buyer agrees to indemnify and hold harmless Seller, Auctioneer, and their representatives and the employees, agents, invitees and licensees thereof in respect of any such matters and agrees to defend any claim or suit or action brought against St. Bernard Parish Government and Sperry Van Ness/Gilmore Auction & Realty Co. and their representatives, and the employees, agents, invitees and licensees thereof.

WELCOME:

On behalf of the St. Bernard Parish Government (SBPG) and Sperry Van Ness/Gilmore Auction & Realty Co. (SVNGARC), we welcome you to this important real estate auction.  Please review the following section carefully.  The terms of sale are non-negotiable.  It explains the Auction Terms & Conditions of buying property at today’s auction.
